Terms & Conditions

These Terms & Conditions ("Terms") govern your use of https://infraredtechno.com and any services or products provided by Infrared Techno. By using the website or engaging our services you agree to these Terms. If you engage us under a signed proposal or agreement, that document prevails where it differs from these Terms.

1. Services

We provide software development (websites, web and mobile apps, SaaS, ERP/CRM), AI solutions, integrations, WhatsApp and SMS communication solutions, digital marketing, Google Business Profile optimisation, SEO, cyber security consultation and related services. The scope, deliverables, timelines and price of each engagement are defined in a written proposal, quotation or invoice.

2. Pricing and payment

• Prices are quoted in Indian Rupees (INR) and are exclusive of GST unless stated otherwise. GST is charged as applicable.
• Project work is typically billed as an advance followed by milestone payments as stated in the proposal.
• Subscriptions (for example WaZappy plans, hosting or maintenance) are billed in advance for the selected billing period.
• Online payments are processed securely through authorised payment gateways. Bank transfer and UPI are also accepted.
• Late payments may lead to suspension of work, hosting or subscription access after notice.

3. Client responsibilities

• Provide accurate information, content, approvals and access in time; delays may shift timelines.
• Ensure you hold rights to all content, logos and data you give us.
• Use our solutions lawfully, including messaging consent rules (see Acceptable Use Policy and Messaging Policy).

4. Third-party platforms

Many solutions depend on third parties — Meta (WhatsApp Business Platform), Google, payment gateways, telecom operators and DLT platforms, hosting and AI providers. Their availability, pricing, approvals (for example template or business verification) and policies are outside our control and governed by their own terms. Fees charged by these providers (such as Meta conversation charges or ad spend) are payable by you directly unless the proposal says otherwise.

5. Intellectual property

• On full payment, ownership of custom code and design created specifically for you transfers to you, unless agreed otherwise in writing.
• Our pre-existing frameworks, libraries, tools, know-how and products (including WaZappy) remain our property; you receive a licence to use them as part of the delivered solution.
• We may mention the project in our portfolio unless you ask us not to.

6. Confidentiality

Both parties will keep confidential information private and use it only for the engagement. We are happy to sign a separate NDA.

7. Warranties and support

We deliver work with reasonable skill and care and fix defects reported within the support period stated in the proposal. We do not guarantee specific business results such as search rankings, ad performance, revenue or message delivery rates, because these depend on factors outside our control.

8. AI-generated output

AI features may produce inaccurate or incomplete output. Outputs should be reviewed by a person before being relied upon for business, legal, financial or medical decisions.

9. Free tools

Free tools on this website are provided "as is" for lawful use on systems you own or are authorised to test. Misuse, including scanning systems without permission, is prohibited.

10. Limitation of liability

To the extent permitted by law, our total liability for any claim is limited to the amount you paid us for the specific service giving rise to the claim in the three months before the claim. We are not liable for indirect, incidental or consequential losses, loss of profits or data, or failures of third-party services.

11. Termination

Either party may end an engagement with written notice as set out in the proposal. Work completed up to termination is payable. Refunds and cancellations follow our Refund & Cancellation Policy.

12. Governing law and disputes

These Terms are governed by the laws of India. Disputes will first be attempted to be resolved amicably; failing that, the courts at Dehradun, Uttarakhand shall have exclusive jurisdiction.
